These Terms of Service (“Terms”) govern your access to and use of the OmniGems AI website, application, and related services (collectively, the “Service”), operated by the OmniGems AI team (“we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms.

1. Eligibility

You must be at least 18 years old and legally able to enter into a binding contract to use the Service. By using the Service you represent that you meet these requirements and that your use complies with the laws of your jurisdiction.

2. Accounts and Wallets

Access to certain features requires connecting a third-party wallet or account (e.g. Thirdweb, Telegram). You are responsible for safeguarding your credentials and for all activity on your account. We are not liable for any loss arising from unauthorized access to your wallet or account.

3. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law.
  • Upload, generate, or distribute content that is illegal, infringing, defamatory, hateful, sexually explicit involving minors, or that depicts a real person without their consent.
  • Attempt to bypass rate limits, security mechanisms, payment flows, or access controls.
  • Use automated means (scraping, bots, mass account creation) other than through documented public APIs.
  • Resell, sublicense, or commercially exploit the Service without our written consent.

4. User Content and AI-Generated Output

You retain ownership of content you submit. You grant us a worldwide, non-exclusive, royalty-free license to host, store, process, display, and distribute your content for the purpose of operating and improving the Service. AI-generated output is provided as-is — you are responsible for reviewing it before publishing it elsewhere, and you must comply with the licenses of any underlying models or assets we disclose.

5. Payments, Tokens, and Refunds

Some features require payment, on-chain transactions, or platform tokens. All on-chain transactions are final and irreversible by their nature. Fiat or off-chain payments are governed by our payment processor’s terms. Except where required by law, payments are non-refundable.

6. Intellectual Property

The Service, including its design, code, branding, and documentation, is owned by us or our licensors and is protected by intellectual property laws. We grant you a limited, revocable, non-transferable license to access and use the Service for personal, non-commercial purposes consistent with these Terms.

7. Third-Party Services

The Service integrates with third-party services (wallets, blockchains, AI providers, analytics, payment processors). Your use of those services is governed by their respective terms. We are not responsible for third-party services or their availability.

8. Disclaimers

The Service is provided “as is” and “as available”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Service will be uninterrupted, accurate, or error-free, or that AI-generated output will be suitable for any specific purpose.

9. Limitation of Liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, goodwill, or crypto-assets, arising from or related to your use of the Service. Our aggregate liability will not exceed the greater of (a) amounts you paid us in the 12 months before the claim, or (b) USD 100.

10. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, if we believe you have violated these Terms or for any operational, legal, or security reason. You may stop using the Service at any time.

11. Changes

We may modify these Terms at any time. Material changes will be communicated through the Service or by updating the “Last updated” date. Continued use of the Service after changes constitutes acceptance of the revised Terms.

12. Governing Law

These Terms are governed by the laws of the jurisdiction in which OmniGems AI is established, without regard to conflict-of-laws principles. Disputes will be resolved in the competent courts of that jurisdiction, except where exclusive consumer protections require otherwise.
